    How do you structure and deed a real estate development in Uruguay?

    Our firm accompanies real estate developments at every stage, from land acquisition through to the execution of the last unit deed for the final buyer. We provide the notarial and legal advisory that a real estate project needs to be structured on solid foundations.

    Development stages and our role in each

    Pre-analysis and land acquisition: Before purchasing, we study the property title with a chain of title of at least thirty years, review registry certificates and verify urban planning or environmental restrictions that may affect the project. We draft the preliminary purchase agreement or the land acquisition deed as the case requires. Legal structuring of the project: Choosing the right vehicle is decisive. We advise on the alternatives — commercial company, real estate fideicomiso, co-ownership — based on the project profile, contributors and commercialization model. When structured as an at-cost real estate fideicomiso, we draft the master fideicomiso agreement and the standard adhesion contract for participants, under Law 17.703. Financing and guarantees: We work with the sector's typical guarantees: real estate mortgages, pledges over membership interests or shares, fiduciary assignments of cash flows or rights, cross-collateral arrangements. We coordinate with the banks' and other lenders' notaries. Contracts with builder, suppliers and architect: We provide notarial advisory on the development's main contracts and certify signatures where applicable. Condominium bylaws and condominium regime: We draft the condominium bylaws and declaration of new construction, manage the property's incorporation into the condominium (horizontal property) regime and the registration. We precisely define the units, their undivided percentages, easements, common areas and permitted uses. Adhesion contracts with buyers and investors: We draft adhesion contracts for the at-cost fideicomiso, or the reservation agreements and preliminary purchase agreements depending on the project model. We carry out the title search on the land so that each participant has legal certainty when signing. Individual deeds: Upon completion, we execute each unit's deed for the final buyer with its undivided percentage, coordinating procedures with BPS for building contributions, DGI, cadastral office and registry registrations.
